These Terms of Use (the "Terms") govern your access to and use of the Smart Masjid services, including the Smart Masjid HomeTM device (the "Device"), the Smart Masjid mobile application, the Smart Masjid admin portal, the Smart Masjid TV display, and any related websites, content, and services (collectively, the "Services") operated by Futurik Labs LLC ("Smart Masjid," "we," "us," or "our").
By creating an account, purchasing a Device, registering a masjid, or otherwise accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Eligibility
You must be at least 18 years old, or the age of majority in your jurisdiction, to create an account and enter into these Terms on your own behalf. By using the Services, you represent and warrant that you meet this requirement and have the legal capacity to enter into a binding agreement.
The Services are currently offered in the United States. You are responsible for complying with all laws applicable to your access and use of the Services in your location.
2. The Services
2.1 Smart Masjid Home device
Smart Masjid Home is a connected home device that pairs with a participating masjid to stream the live adhan, display salah timings, and show curated Islamic content. Functionality of the Device depends on (a) your participating masjid's continued participation in the Smart Masjid platform, and (b) a stable internet connection at your home.
The technology underlying the Device is the subject of one or more pending patent applications.
2.2 Mobile and admin applications
The Smart Masjid mobile application allows end users to set up Devices, view prayer timings, and manage their accounts. The Smart Masjid admin portal allows authorized representatives of registered masjids ("Masjid Admins") to manage their masjid's profile, schedules, announcements, and live adhan broadcasts.
2.3 Service availability
We do not guarantee that the Services will be uninterrupted, error-free, or available at all times. The live adhan stream and other real-time features depend on third-party networks and the actions of Masjid Admins, and may be delayed, interrupted, or unavailable.
3. Accounts
Some features of the Services require an account. You agree to provide accurate, current, and complete information when registering, and to keep that information up to date. You are responsible for maintaining the confidentiality of your login credentials and for all activity that occurs under your account.
Masjid Admin accounts may have additional verification requirements. Smart Masjid may suspend or terminate any account that is found to be impersonating a masjid, providing false information, or otherwise misusing the platform.
4. Smart Masjid Home device — purchase, warranty, and returns
4.1 Purchase
Devices are sold subject to the terms presented at the time of purchase, including price, applicable taxes, shipping fees, and any subscription requirements. All sales are final except as required by applicable consumer protection law or as set out below.
4.2 Limited hardware warranty
Subject to the conditions stated at the time of purchase, Smart Masjid offers a limited hardware warranty against defects in materials and workmanship for a period of one year from the date of delivery. The warranty does not cover damage caused by misuse, accident, unauthorized modification, or normal wear and tear.
4.3 Returns
You may request a return of an unused Device within 14 days days of delivery for a refund of the purchase price, less any restocking or return-shipping fees. Refer to our Shipping and Returns policy for full details and instructions on how to initiate a return.
5. Subscriptions and fees
Certain Services or features may require a recurring subscription. If you subscribe, you authorize us (or our payment processor) to charge the applicable fees to your chosen payment method on a recurring basis until you cancel. Fees are non-refundable except as required by applicable law. We may change subscription fees on reasonable notice; price changes will not apply to billing periods you have already paid for.
6. Acceptable use
You agree that you will not, and will not attempt to:
- use the Services in a way that violates any applicable law or regulation;
- impersonate any person or entity, including a masjid;
- broadcast, upload, or stream any content through the Services that is unlawful, defamatory, harassing, hateful, or that infringes the rights of others;
- interfere with, disrupt, or attempt to gain unauthorized access to the Services, our servers, or other users' accounts or Devices;
- reverse-engineer, decompile, or disassemble any part of the Services or Device firmware, except to the extent permitted by applicable law;
- resell, rent, or sublicense the Services without our prior written consent;
- use the Services for any commercial purpose not expressly permitted by these Terms.
7. Content
7.1 Smart Masjid content
All content provided by Smart Masjid through the Services — including the Islamic background images, default audio, software, designs, logos, trademarks, patents, and pending patent applications — is owned by Smart Masjid or its licensors and is protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable license to use this content solely for the personal, non-commercial use of the Services in accordance with these Terms.
7.2 Masjid content
Masjid Admins are solely responsible for the content they broadcast or upload through the Services, including the live adhan, prayer timings, announcements, and any other materials. By submitting such content, the Masjid Admin grants Smart Masjid a worldwide, royalty-free license to host, transmit, display, and distribute that content to subscribed Devices and authorized users solely for the purpose of operating the Services.
7.3 Feedback
If you submit feedback, suggestions, or ideas about the Services, you grant Smart Masjid a perpetual, irrevocable, royalty-free license to use that feedback for any purpose without obligation to you.
8. Third-party services
The Services may rely on or link to third-party services, networks, or content (for example, Wi-Fi providers, app stores, payment processors, and cloud infrastructure). Smart Masjid is not responsible for the availability, accuracy, or content of any third-party service, and your use of those services is subject to the third party's terms.
9. Disclaimers
THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SMART MASJID DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING OUT OF COURSE OF DEALING OR USAGE OF TRADE.
SMART MASJID DOES NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE, THAT DEFECTS WILL BE CORRECTED, OR THAT THE LIVE ADHAN STREAM, PRAYER TIMINGS, OR OTHER CONTENT WILL BE ACCURATE OR DELIVERED ON TIME. YOU SHOULD NOT RELY SOLELY ON THE SERVICES FOR PRAYER TIMING DECISIONS.
10. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT WILL SMART MASJID, ITS AFFILIATES, OR THEIR RESPECTIVE OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY.
SMART MASJID'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES WILL NOT EXCEED THE LESSER OF (A) THE AMOUNT YOU PAID TO SMART MASJID IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) TWO HUNDRED U.S. DOLLARS ($200).
11. Indemnification
You agree to indemnify, defend, and hold harmless Smart Masjid and its affiliates, officers, directors, employees, and agents from any claims, damages, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or related to (a) your use of the Services, (b) your violation of these Terms, or (c) your violation of any rights of a third party.
12. Termination
You may stop using the Services at any time and may delete your account through the Smart Masjid mobile app or by following the instructions on our delete account page. We may suspend or terminate your access to the Services, with or without notice, if we reasonably believe you have violated these Terms or if we are required to do so by law.
Upon termination, your license to use the Services ends. Sections that by their nature should survive termination — including ownership, disclaimers, limitation of liability, indemnification, and dispute resolution — will continue to apply.
13. Governing law and dispute resolution
13.1 Governing law
These Terms are governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict-of-laws principles. The United Nations Convention on Contracts for the International Sale of Goods does not apply.
13.2 Informal dispute resolution
Before initiating arbitration, you and Smart Masjid agree to attempt to resolve any dispute, controversy, or claim arising out of or relating to these Terms or the Services (each a "Dispute") through good-faith informal negotiations for at least thirty (30) days. Either party may begin this informal-negotiation period by sending written notice to the other party describing the Dispute and the requested relief. You agree to send any notice to Smart Masjid at info@smartmasjid.app; Smart Masjid will send any notice to you at the email address associated with your account.
13.3 Binding arbitration
If the parties cannot resolve a Dispute through informal negotiations within thirty (30) days, the Dispute (except for the carve-outs in §13.4) will be resolved exclusively by binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, as modified by these Terms. The arbitration will be conducted by a single arbitrator. The seat (legal place) of arbitration will be Collin County, Texas, and the proceedings will be conducted in English. Judgment on the arbitrator's award may be entered in any court of competent jurisdiction.
Smart Masjid will pay the AAA filing, administrative, and arbitrator fees for any arbitration that complies with these Terms, except where the AAA Consumer Arbitration Rules require you to pay your portion of those fees and Smart Masjid is not otherwise obligated to advance them. If the arbitrator determines that your claim was frivolous or filed in bad faith, the arbitrator may reallocate fees in accordance with the AAA Rules.
13.4 Carve-outs from arbitration
Notwithstanding §13.3, the following matters are not subject to arbitration and may be brought in court on an individual (non-class) basis: (a) claims that qualify for and are filed in a small-claims court located in Collin County, Texas, so long as they remain in that court; (b) claims by either party seeking injunctive or other equitable relief to protect intellectual-property rights or to prevent unauthorized access to or use of the Services; and (c) any Dispute that, under applicable law, cannot be subject to mandatory arbitration. If a court of competent jurisdiction finds the arbitration agreement in §13.3 unenforceable as to a particular Dispute, that Dispute will be resolved exclusively in the state or federal courts located in Collin County, Texas, and each party consents to the personal jurisdiction of those courts for that purpose.
13.5 Class-action waiver
You and Smart Masjid agree that any Dispute will be brought in an individual capacity and not as a plaintiff or class member in any purported class, consolidated, or representative proceeding. The arbitrator may not consolidate more than one person's claims and may not preside over any form of representative or class proceeding. If a court or arbitrator determines that this waiver is unenforceable as to a particular claim or remedy (for example, a request for public injunctive relief), that claim or remedy will be severed and resolved in court, while all other claims will proceed in arbitration.
13.6 Limitation period
Any cause of action or claim arising out of or relating to these Terms or the Services must be commenced within one (1) year after the cause of action accrues; otherwise, the claim is permanently barred, except where applicable law requires a longer period.
14. Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will provide reasonable notice — for example, by posting the updated Terms on this page with a new "Last updated" date, or by notifying you through the Services. Your continued use of the Services after the updated Terms take effect constitutes your acceptance of the changes.
